Terms version: 22

General terms for custom software development

1. Subject

The Contractor develops, adapts or repairs a custom software module for the Customer according to the specification in the accepted offer.

2. Contract formation

A request is not a contract. A contract is concluded when the Customer accepts the written offer of the Contractor online before the offer expires. The electronic acceptance is recorded with date, time, IP address and a SHA-256 fingerprint of the offer and these terms.

3. Price and payment

The price, the VAT treatment and the payment schedule are stated in the offer. Work may be paused while a payment is overdue.

4. Delivery and acceptance

The Contractor delivers the module in the term stated in the offer. The Customer tests it and reports defects in writing within 7 days. If no defect is reported within 7 days, the delivery is considered accepted.

5. Warranty

The Contractor fixes defects of the delivered functionality free of charge for 30 days after delivery. The warranty does not cover later changes of the shop, third-party modules, hosting or software updates.

6. Intellectual property

After full payment the Customer receives a non-exclusive, perpetual licence to use the module in its own shops. The Contractor keeps the copyright and the right to reuse general know-how. Resale or redistribution requires written permission.

7. Liability

The Contractor is liable for direct damages up to the price of the offer, except in case of intent, gross negligence or where the law does not allow such a limit. The Customer is responsible for backups before installation.

8. Confidentiality

Both parties keep confidential the business and technical information received from the other party.

9. Personal data

Personal data is processed only to handle the request and to perform the contract, in accordance with Regulation (EU) 2016/679 and the privacy policy, and is kept for the periods required by law.

10. Consumers

If the Customer is a consumer, the mandatory consumer protection rules apply and nothing in these terms limits them. Goods and digital services made to the specification of the Customer may be excluded from the right of withdrawal as far as the law permits. Consumers may use the EU online dispute resolution platform at https://ec.europa.eu/consumers/odr

11. Governing law

The law of the country where the Contractor has its seat applies, unless mandatory law provides otherwise. Disputes are resolved by the competent court at the seat of the Contractor.
